Corporate buyers purchase seats on a per-course basis. Pricing varies by course and is defined at the time of purchase.
The number of seats and applicable courses are specified in the purchase agreement.
Seats are non-transferable across courses unless otherwise agreed in writing.
2. Cancellation & Substitution Window (Days 1–7)
Buyers may cancel any or all unused seats within 7 days of purchase for a full refund.
Partial cancellations are permitted — buyers may retain some seats while canceling others within this window.
After 7 days, all purchased seats are fully owned by the buyer. No cancellation refund is available regardless of whether seats have been filled.
3. Seat Status, Usage & Expiration
Seat Status
A seat is active from the date of purchase and remains active for 6 months.
Seats are filled by enrollment. A seat is considered filled when a learner has been identified and has accepted placement in a cohort that has either already started, or is scheduled to start within the next 30 days.
Expiration
Any seat that has not been filled and specifically assigned to a cohort by the 6-month expiration date is forfeited without refund.
Expired seats cannot be reassigned, refunded, or reinstated under any circumstances.
4. Seat Reassignment
If a learner is unenrolled or drops a course through the standard drop process, the seat returns to the buyer’s available pool and may be reassigned to a new learner.
Reassigned seats retain the original 6-month expiration date — the expiration clock does not reset upon reassignment.
If a learner drops after the seat’s 6-month expiration date has passed, the seat cannot be reassigned, refunded, or reinstated. The seat agreement has lapsed regardless of prior enrollment status.
Note: Seat expiration is based on the original purchase date. Reassignment of a seat does not reset or extend the expiration clock.
5. Transfer Policy
Each seat holder is entitled to one (1) transfer within the designated transfer window.
The transfer window is defined as [INSERT TRANSFER WINDOW, e.g., 30 days prior to cohort start].
Transfers apply to the individual seat holder and do not extend the seat’s expiration date.
6. Standard Drop
A standard drop returns the seat to the buyer’s available pool for reassignment, provided the seat has not expired.
No seat refund is issued upon a standard drop.
If the seat’s 6-month agreement period has already elapsed at the time of the drop, the seat is non-assignable and permanently forfeited.
Note: A drop and a withdrawal are distinct actions with different outcomes for seat availability. Buyers should ensure learners and administrators understand this distinction prior to taking action. See the Buyer Reference Guide for plain-language definitions.
7. Withdrawal
Withdrawals are governed by the standard withdrawal policy.
Upon withdrawal, the enrollee retains access to course content.
The seat is not refunded and is not available for reassignment following a withdrawal.
8. Extenuating Circumstances
Exceptions to this policy may be considered in documented extenuating circumstances, including but not limited to medical emergencies, company closure, or force majeure events.
All exception requests must be submitted in writing to [DESIGNATED AUTHORITY].
Requests are reviewed on a case-by-case basis and are not guaranteed.
Approved exceptions do not establish precedent for future requests.
Any exception granted will be documented and retained on file.
